This website is provided subject to these Terms of Use ("Terms") by Mizrahi Tefahot Bank Ltd., USA, Located at 633 West 5th Street, Suite 5700 Los Angeles, CA 90071 ("UMTB USA", “we”, “our” or “us”).  As used in these Terms, "Site" means the entirety of the UMTB USA website , www.umtbusa.com, including all content, services, information, all webpages owned and operated by UMTB USA located on the Site and any portions thereof.  These Terms are a legal agreement and your access and use of this Site constitutes your acknowledgement and agreement to be bound by the Terms, including as the Terms may be modified from time to time.  Please read them carefully before accessing or using the Site and keep a copy of them for your reference. UMTB USA's Privacy Notice  is also incorporated into these Terms by this reference, which describes what information we collect, how we use and with whom we share your information, and how we protect your information. If you do not agree to these Terms or the Privacy Notice, you may not use this Site.
The materials and information posted on this Site may be used for informational purposes only.  We do not assume any liability for the accuracy or completeness of information presented on our Site.  While we will make all reasonable efforts to provide accurate information on our Site, there is no guarantee or warranty of accuracy.  Use of the content or information posted on our Site is at your own risk.
UMTB USA reserves the right to withdraw, delete, remove, or amend the Site, and any service, material, content or information provided on the Site, including these Terms, in UMTB USA's sole discretion and without notice. Changes may include revisions to promotional offers and campaigns, including termination of the same.  UMTB USA will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period.  From time to time, UMTB USA may restrict access to some parts of the Site, or the entire Site, to users, including registered users.
We may, but have no obligation to, monitor, and/or retain copies indefinitely of, uploaded content, message boards, chat rooms or other forums on the Site where information is communicated or posted by you or UMTB USA or review content, messages posted on the Site (to the extent applicable), to confirm their compliance with these Terms or applicable law.

1. The Site and Online Conduct

This Site provides information about UMTB USA products and services, news, and other content from UMTB USA and third parties. Portions of the Site may also allow users to communicate or share information with UMTB USA or others. You must use the Site only for lawful purposes and strictly in accordance with these Terms and applicable rules and internal policies of UMTB USA (to the extent applicable).  As a condition of your use of the Site you acknowledge and agree that you will not use the Site for any purpose prohibited by applicable laws, rules or regulations or which is otherwise prohibited by these Terms.  Further, when using this Site, you understand and agree that:

• You will only use or access this Site as intended, and will not access or use this Site in any way that violates any applicable federal, state, local or international laws or regulations;
• You will not access or use the Site in any way that would damage, disrupt, interfere, infect, or alter (or attempt to do any of the foregoing) the Site or which would interfere with any other party’s use and enjoyment of the Site in any way;

• UMTB USA may, at any time and for any reason, terminate or block your access to this Site, or remove or alter the Site (or any portion thereof);

• You will not attempt to gain unauthorized access to any account, computer systems or networks through unlawful means such as hacking, phishing, social engineering, malware, password mining or other means. 

2. Banking & Financial Products

The Site may provide information regarding various banking and other financial products and services – including but not limited to deposit or financing products, credit lines– offered by UMTB USA or UMTB USA Affiliates (collectively, "Financial Services"). While these Terms will govern your use of this Site, separate agreements and legal disclosures will govern the provision of Financial Services offered by UMTB USA or UMTB USA Affiliates. You understand and agree that the terms and conditions of these other agreements applicable to Financial Services solely govern your use of such Financial Services.  You agree that these Terms shall only govern your use of this Site not Financial Services.  If any information on the Site or these Terms conflicts with the agreements or disclosures which govern Financial Services, the agreements and disclosures applicable to Financial Services will govern. 

3. Intellectual Property

The software, content, information, materials used by us in operation of the Site and the copyright, patent, trademark, trade secret and all other rights in and to the technology, software, content, designs, graphics, and trademarks included by us on the Site, and our name, product names, and the Site’s URL (collectively “Intellectual Property”) are the property of UMTB USA, or its licensors, suppliers and service providers.  You understand and agree that UMTB USA or its licensors, suppliers and/or service providers hold all right, title, and interest to the Site and all Intellectual Property contained on the Site and is protected by copyright and other laws that protect intellectual property and proprietary rights. As such, you will not gain any ownership, or other right, title or interest in or to the Site by reason of your use of the Site or any of the Intellectual Property contained therein.  We do not grant you any licenses, express or implied, to the Intellectual Property of UMTB USA or our licensors, suppliers or service providers except as expressly authorized by these Terms.  You agree to observe and abide by all laws applicable to Intellectual Property when using the Site. The foregoing applies regardless of (i) the form of Intellectual Property, (ii) how Intellectual Property was provided to you, or (iii) the geographic location from which you accessed the Site.   
You understand and agree that you may only use the content and Intellectual Property available on this Site as provided to you through the Site, unless otherwise expressly provided by UMTB USA. Unless specifically authorized by these Terms, you may not copy, duplicate, reproduce, modify, publish, post, upload, transmit, sell, create derivative works from, store for use or distribution, reverse engineer, alter, or decompile the Site, or any content or Intellectual Property contained in or provided through this Site without UMTB USA's prior written consent.
You agree to prevent any unauthorized copying of Intellectual Property or other content contained on the Site.  Misuse of any information or Intellectual Property contained on the Site is strictly prohibited.  If you print, copy, modify, download Intellectual Property or content located on the Site, or otherwise use or provide any other person with access to any part of the Site in breach of these Terms, your right to use the Site will cease immediately and you must, at UMTB USA's option, return or destroy any copies of the materials or Intellectual Property you have made. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws that protect intellectual property and other proprietary rights.
UMTB USA maintains trademarks, service marks, logos, domain names, and other branding material for its various organizations, products, and services, and has a strong interest in maintaining the integrity of its Intellectual Property and brand. You understand and agree that you will not use any UMTB USA trade or service marks, whether or not such marks are registered, or any other Intellectual Property of UMTB USA without the prior written consent of UMTB USA.

Further, you may not: (a) modify or erase any copyright or trademark notice we place at our Site or which is otherwise located on Intellectual Property; (b) engage in the practice known as “screen-scraping” or otherwise attempt to, or actually, obtain content provided at the Site or a list of our content or Site users, or use computer programs (sometimes known as “scrapers”, “spiders”, “robots” or “bots”) to systematically access and download data from the Site; (c) frame our Site or any Intellectual Property; or (d) use any circumvention tools, meta tags or any other “hidden text” utilizing our name, trademark, URL, product name or other Intellectual Property.

UMTB USA complies with and is examined on its compliance with various information security and privacy laws and regulations applicable to Financial Services, including the Gramm-Leach Bliley Act rules on safeguarding and privacy.  UMTB USA maintains a written information security program based on international standards that is monitored by UMTB USA's Security office.

9. LIMITATIONS OF LIABILITY

You agree to defend, indemnify and hold harmless UMTB USA, its affiliates, licensors and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) against any third party claims arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User-Provided Content, any use of the Site's content, services and products other than as expressly authorized in these Terms or your use of any information obtained from the Site.

11. Changes to the Terms, other UMTB USA sites

UMTB USA may, from time to time, change these Terms with or without notice to you. It is your responsibility to review the most current version of these Terms prior to accessing or using of the Site. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

12. Linking to the Site

You may only provide a link to UMTB USA's homepage of the Site with the express written consent of UMTB USA. You agree to cooperate with us in causing any unauthorized linking immediately to cease. UMTB USA reserves the right to withdraw linking permission without notice.

13. General Legal Terms

These Terms and your use of this Site are subject to the laws of the State of California without regard to its conflict of laws provisions. Any dispute arising from or related to these terms may only be brought in the courts located in Los Angeles County, California. Although you may access this Site in other states or countries, your use of this Site still subjects you to the exclusive jurisdiction of these courts. These Terms are provided to you in English and the English-language version of these Terms will govern use of this Site.  
If you access the Site from a location outside of the United States of America (USA), you are responsible for compliance with all international and local laws.  You agree that you will not use UMTB USA’s content from the Site or any Intellectual Property accessed through the Site in any country or in any manner prohibited by any applicable laws, restrictions or regulations. 
UMTB USA may occasionally provide you notices about changes to this Site, including the services and content provided in it. Such notices may be provided via email, standard mail, or through the Site.
You also understand and agree no waiver of by UMTB USA of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of UMTB USA or any UMTB USA Affiliates to enforce their rights under these Terms or at law will not be considered a waiver of such rights.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
These Terms and the UMTB USA Privacy Notice constitute the entire agreement between you and UMTB USA regarding your access and use of the Site, and may be modified or changed only by UMTB USA.  UMTB USA has the right to, amend, alter, change, revise or delete these Terms at any time and without notice to you. . These Terms supersede any previous terms, conditions, or agreements of the parties regarding the use of the Site. Other UMTB USA Web sites may provide changes or additions to these Terms.
